This Non-Disclosure Agreement ("Agreement") is entered into between ADAVEL Fund (the Disclosing Party) and the individual or entity completing the form below (the Receiving Party).
"Confidential Information" means any information disclosed by ADAVEL — orally, in writing, or electronically — that is designated as confidential or that a reasonable person would understand to be confidential. This includes founder and applicant identities, portfolio company financials, investment terms, scoring rubrics, fund performance, investor identities, business plans, pitch materials, and strategic plans.
"Permitted Purpose" means the specific purpose you state in the form below (e.g. evaluating a potential co-investment, reviewing an application, assessing an investment opportunity).
Obligations do not apply to information that was already known free of confidence, is publicly available through no fault of the Receiving Party, was independently developed, or is required to be disclosed by law.
This Agreement commences on the date of submission and continues for the number of years selected in the form. Confidentiality obligations survive termination for a further three (3) years.
Governed by the laws of the Federal Republic of Nigeria. Non-exclusive jurisdiction of Lagos State courts.
