3.1 Risk of Capital Loss

ADAVEL deploys its own capital into early-stage businesses. Early-stage businesses fail at high rates, and any individual investment may not be recovered. RBF mitigates but does not eliminate this risk to the Fund's capital.

3.2 Illiquidity Risk

ADAVEL's equity and RBF positions in portfolio companies are illiquid and not readily transferable.

3.3 Macroeconomic Risk

Naira depreciation, inflation, and policy changes may materially affect portfolio company performance.

3.4 Regulatory Risk

Nigeria's regulatory environment for private capital is evolving. Changes may affect operations unpredictably.

3.5 Execution Risk

ADAVEL is at pilot stage. There is no completed investment cycle track record. Projections are illustrative only.

3.6 Concentration Risk

3–5 portfolio companies means limited diversification. Poor performance by any single company could significantly affect fund returns.

3.7 Key Person Risk

Operations depend significantly on the founding team. Loss of key personnel could affect fund management.
